1. Agreement

These Terms of Service govern your use of flyweei.com and the Flyweel platform (the "Service") operated by Flyweel Pty Ltd ("the Company," "we," "us," or "our") (Level 12, 60 Martin Place, Sydney NSW 2000, Australia). The Flyweel Service is an AI-powered ROAS forecasting and ad budget optimisation tool designed for performance marketing teams running cross-channel paid advertising campaigns. By creating an account or using the Service you accept these Terms. Nothing in these Terms limits your statutory rights under the laws of your country of residence.

2. Use of the Service

  • You must be of legal age in your jurisdiction or have parental or guardian consent to use the Service.
  • You agree not to use the Service unlawfully, to interfere with the platform's operation, or to attempt unauthorised access to any part of the Service or to third-party ad platform accounts that you are not authorised to access.
  • You may not scrape, reverse-engineer, decompile, or copy the Service except as expressly permitted by mandatory law.
  • When connecting your advertising accounts via OAuth, you represent that you are authorised to grant the read access requested by the Flyweel platform for the purposes of generating ROAS forecasts and reallocation recommendations.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Intellectual Property

The Service, including the forecasting models, platform interface, algorithms, and all associated software, is owned by the Company or its licensors and is protected by Australian and international intellectual property law. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose of ROAS forecasting and budget optimisation for your own marketing activities. You retain ownership of any advertising performance data you connect to the Service.

4. User Content and Data

You are responsible for any content and data you submit or connect to the Service, including advertising campaign data accessed via OAuth integrations. You grant the Company a limited licence to use, store, and process that data solely to provide the Service to you - specifically to build your channel-specific forecast model, generate pre-spend ROAS predictions, and surface budget reallocation recommendations. We do not use your advertising performance data to train general-purpose AI models or share it with third parties for their own purposes.

5. Subscription and Payment

The Flyweel platform is offered on subscription tiers (Starter, Growth, Scale) billed monthly or annually. Pricing is as displayed on our pricing page at the time you subscribe. Subscriptions renew automatically unless cancelled. You may cancel at any time; access continues until the end of the current billing period. We reserve the right to modify pricing with reasonable notice.

6. Disclaimers

The Service is provided on an "as is" and "as available" basis. ROAS forecasts generated by the Flyweel platform are predictions based on historical data and statistical modelling, not guarantees of advertising performance. Forecast accuracy varies depending on channel mix, data history depth, and market conditions. We disclaim all warranties to the maximum extent permitted by applicable law. Mandatory consumer warranties applicable in your country of residence are not affected by this disclaimer.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from or related to the Service will not exceed the total fees you paid to the Company in the three months preceding the claim, except for liability that cannot be limited under mandatory law including under the Australian Consumer Law.

8. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising from your use of the Service, your breach of these Terms, your violation of any third-party right, or any misrepresentation you make in connection with the Service.

9. Termination

We may suspend or terminate your access to the Service for material breach of these Terms. You may terminate your account at any time through your account settings. Sections of these Terms that by their nature should survive termination - including intellectual property, disclaimers, limitation of liability, and governing law - will survive.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of Australia.

Disputes are subject to the non-exclusive jurisdiction of the competent courts in Sydney, Australia, without prejudice to your mandatory consumer-protection rights under the laws of your country of residence.

11. Changes and Contact

We may update these Terms from time to time. Material changes will be posted with a new "Last updated" date and, where appropriate, notified to active subscribers by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
